By accessing or using our Services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

Acceptance of Terms

By signing up for or using our Services, you agree to these Terms, as well as any additional terms, guidelines, and rules that may apply to specific services or features provided by Maiaddy Ltd. We reserve the right to modify these Terms at any time. Your continued use of the Services after any changes to the Terms constitutes your acceptance of the new Terms.

Eligibility

To use our Services, you must be:

• At least 18 years old, or the age of legal majority in your jurisdiction.
• Authorized to bind your company or organization to these Terms if you are using the Services on their behalf.

Account Registration and Security

• Account Creation: To access certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

1. License: Subject to your compliance with these Terms, Maiaddy Ltd grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services solely for your internal business purposes.
2. Prohibited Uses: You agree not to:
   • Use the Services for any illegal or unauthorized purpose
   • Access, tamper with, or use non-public areas of the Services, Maiaddy Ltd's computer systems, or the technical delivery systems of our providers.
   • Attempt to probe, scan, or test the vulnerability of any system or network or breach any security or authentication measures
   • Interfere with or disrupt the Services or servers or networks connected to the Services.

API Usage and Limitations

• API Access: Maiaddy Ltd provides access to its APIs for use in various sectors such as insurance, education, financial services, government, etc. The API access and usage limits are defined in your service agreement with Maiaddy Ltd.
• Rate Limits: You agree to adhere to the rate limits and usage restrictions outlined in your API documentation and service agreement. Excessive usage may result in suspension or termination of your access to the Services.
• Data Accuracy: While Maiaddy Ltd strives to provide accurate and up-to-date location intelligence, we do not guarantee the accuracy, completeness, or reliability of the data generated by our Services.

Fees and Payment

• Service Fees: Access to and use of the Services may be subject to subscription fees as outlined in your service agreement. All fees are non-refundable unless otherwise stated.
• Payment Terms: Payments must be made in accordance with the terms specified in your service agreement. Late payments may result in the suspension or termination of your access to the Services.

Intellectual Property

• Ownership: Maiaddy Ltd retains all rights, title, and interest in and to the Services, including all related intellectual property rights. Your use of the Services does not
• Grant you any ownership rights to the Services or their content.
• License to Use Client Data: By using our Services, you grant Maiaddy Ltd a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your data solely to provide the Services.

Confidentiality

Confidential Information: Both parties agree to keep confidential any non-public information disclosed during the course of their relationship, including but not limited to business plans, technology, customer data, and pricing. This obligation of confidentiality survives the termination of the agreement.

Termination

• Termination by Maiaddy Ltd: We may suspend or terminate your access to the Services at any time, with or without cause, and without prior notice. Upon termination, your right to use the Services will immediately cease.
• Termination by You: You may terminate your account at any time by following the procedures outlined on our website. Termination does not relieve you of any obligations to pay outstanding fees or charges.
• Effect of Termination: Upon termination, you must cease all use of the Services and delete any copies of API keys or related materials in your possession.

Disclaimers and Limitations of Liability

• As-Is Basis: The Services are provided on an “as-is” and “as available” basis. Maiaddy Ltd makes no warranties, express or implied, regarding the Services, including but not limited to the accuracy, completeness, or reliability of the data generated.
• Limitation of Liability: To the fullest extent permitted by law, Maiaddy Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of or inability to use the Services.

Indemnification

You agree to indemnify, defend, and hold harmless Maiaddy Ltd, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way connected with your use of the Services, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

Governing Law and Dispute Resolution

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Africa, without regard to its conflict of laws principles.
• Dispute Resolution: Any disputes arising out of or in connection with these Terms shall be resolved through good faith negotiations. If the parties are unable to resolve the dispute amicably, the dispute shall be submitted to binding arbitration in accordance with the rules of the Lagos Court of Arbitration.

Miscellaneous

• Entire Agreement: These Terms, together with any applicable service agreements, constitute the entire agreement between you and Maiaddy Ltd concerning your use of the Services.
• Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
• Waiver: No waiver of any term or condition shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
